Synology Cloud Services Terms of Service
1. Acceptance of Terms
Your use of Synology's dynamic DNS, server monitoring, push notification, and QuickConnect services (each a "Service" and collectively "Services") is subject to the terms and conditions set forth in this Terms Of Service ("TOS"). “Synology” or “we” means Synology Inc., whose principal place of business is at 3F-3, No.106 Chang An West Road, Taipei 103, Taiwan.
In order to use the Services, you (or “Customer”) must firstly agree to the TOS. You may not use the Services if you do not accept the TOS. You can accept the TOS by:
(A) clicking to accept or agree to the TOS, where this option is made available to you by Synology in the user interface for any Service; or (B) by actually using the Services. In this case, you understand and agree that Synology will treat your use of the Services as acceptance of the TOS from that point onwards.
Before you continue, you should print off or save a local copy of the TOS for your records.
2. Selection and Revocation of a Domain Name
(A) You acknowledge and agree that Synology cannot guarantee that you will obtain a desired domain name registration, even if an inquiry indicates that a domain name is available at the time of your application for same. You represent that, to the best of the your knowledge and belief, neither the registration of the domain name nor the manner in which it is directly or indirectly to be used, infringes upon the legal rights of a third party and further, that the domain name is not being registered for nor shall it at any time whatsoever be used for any unlawful purpose. (B) Synology, in its sole discretion, reserves the right to reject, cancel, suspend, transfer or modify any domain name registration to correct a mistake, protect the integrity and stability of the service and any applicable registry, to comply with any applicable laws, government rules, or requirements, requests of law enforcement, in compliance with any dispute resolution process, or to avoid any liability, civil or criminal. You agree that Synology shall not be liable to you for loss or damages that may result from its refusal to register or cancel, suspend, transfer or modify your domain name registration.
4. Account, Password and Security
If any of the Services requires you to open an account, you must complete the registration process by providing us with current, complete and accurate information as indicated in the applicable registration form. You also will choose a password and a user name, if required. You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify Synology immediately of any unauthorized use of your account or any other breach of security. Synology will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge. However, you could be held liable for losses incurred by Synology or another party due to someone else using your account or password. You may not use anyone else's account at any time, without the permission of the account holder.
5. Acceptable Use
(A) Customer is solely responsible for his/her usage of the Services. Each Customer is responsible for ensuring that all authorized users of its system or network are aware of and follow this TOS. Customer's use of the Services is subject to, and Customer agrees to comply with, all applicable local, state, national, and international laws and regulations, including but not limited to (1) the laws and regulations of the United States regarding the transmission of technical data exported from the United States and (2) Internet regulations, policies, practices and procedures. (B) Customer may use the Service for any lawful purpose so long as he or she does not (i) abuse or fraudulently use the Service, (ii) use the Service in a manner that could cause damage, disable, overburden, or impair any Synology server, or the network(s) connected to any Synology server, or or interfere with or tampers with another authorized user's use of the Synology Services, or (iii) otherwise use the Service in a manner that violates this TOS or any applicable law and regulations. The terms of this TOS apply to any application or use of the Services.
By using the Service, you represent and warrant that:
(A) You are of legal age to accept the TOS.
(B) All information that you submit to Synology is true and accurate.
7. Termination of Service
(A) Synology may suspend or terminate your account or access rights to Services at any time, without notice, for conduct that Synology reasonably believes violates this TOS, application law or regulations, or any other applicable policies or guidelines that Synology has posted on the Synology website. In addition to restricting or terminating Customer's access to the Service, Synology may remove any materials that it has reasonable grounds to believe are in violation of the applicable copyright law or infringement of any other party's right or interest, or may be otherwise illegal, may subject us to liability or that violate this TOS.
(B) Synology may suspend or cancel any Service at any time, for any reason with or without cause, and/or with or without notice. Upon cancellation, your right to use the Service(s) stops right away. Once any Service is cancelled or suspended, any data you have stored on Synology Server may not be retrieved later. You agree that Synology shall not be liable to you for loss or damages that may result from cancellation or suspension of any Service.
Customer agrees to hold Synology, its directors, officers, and its employees harmless from any claims, whether brought by Customer or by a third party, and expenses, including reasonable attorney's fees and court costs, related to or arising from Customer's breach or violation of any of the terms of this TOS or any applicable law, or from any information, software or content placed by Customer on a server accessible through a Service.
9. LIMITATION OF LIABILITY AND WARRANTY
CUSTOMER AGREES THAT USE OF THE SERVICE IS ENTIRELY AT CUSTOMER'S OWN RISK. SYNOLOGY'S SERVICES ARE PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY FOR INFORMATION, SERVICES, OR UNINTERRUPTED ACCESS, INCLUDING WITHOUT LIMITATION THE SYNOLOGY SOFTWARE LICENSED TO THE CUSTOMER AND THE RESULTS OBTAINED THROUGH THE SERVICE. CUSTOMER AGREES THAT SYNOLOGY WILL NOT BE LIABLE FOR ANY LOSS OF OR USE OF CUSTOMER'S DOMAIN NAME, OR FOR INTERRUPTION OF BUSINESS, OR ANY INDIRECT, SPECIAL, INCIDENTAL, ORCONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER RESULTING FROM LOSS OF USE, DATA OR PROFITS, REGARDLESS OF THE FORM OF ACTION WHETHERIN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, AND REGARDLESS OF WHETHER SYNOLOGY HAS BEEN NOTIFIED OF THE POSSIBILITY OF ANY SUCH DAMAGES.
10. Choice of Law
This TOS shall be construed and controlled by the laws of the Republic of China (Taiwan). Any dispute arising from the terms of this TOS or a breach of this TOS will be governed by the laws of Taiwan without regard to the conflicts of laws provisions thereof Customer agrees to the exclusive jurisdiction of Taiwan Taipei District Court and its courts of appeal therefrom.
11. Entire Agreement
This TOS constitutes the entire agreement between the parties with respect to the subject matter contained herein and supersedes all previous and contemporaneous agreements, proposals and communications, written or oral between Synology representatives and Customer. Synology may amend or modify this TOS or impose new conditions at any time upon written notice from Synology to Customer, either by email or by publication on the Synology Web site. Any use of the Service by Customer after such notice shall be deemed to constitute acceptance by Customer of such amendments, modifications or new conditions
12. Personal Use
Customer's right to use the Service is personal to Customer. Unless otherwise specified, the Services are for your personal use. You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from the Services.
Synology reserves the right to distribute information to you that is pertinent to the quality or operation of its services. These announcements will be predominately informative in nature and may include notices describing changes, upgrades, or other information to add security or to enhance your identity on the Internet.
14. Controlling Language
In the event that you are reading this Agreement in a language other than the English language, you acknowledge and agree that the English language version hereof shall prevail in case of inconsistency or contradiction in interpretation or translation.
